By accessing or using PunchFlow's HRMS and Payroll platform, website, mobile applications, and related services ("Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

These Terms apply to all users, including administrators, employees, and any other parties who access or use the Services.

2. Account Registration

To use our Services, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security of your account credentials and not share them with unauthorized parties.
• Notify us immediately of any unauthorized access or security breach.
• Accept responsibility for all activities that occur under your account.

3. Subscription and Billing

PunchFlow offers subscription-based pricing. By subscribing, you agree to:

• Pay all applicable fees as described in your subscription plan.
• Provide valid payment information and authorize us to charge your payment method.
• Subscription fees are non-refundable except as explicitly stated in our refund policy.
• We reserve the right to change pricing with 30 days' prior notice.
• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing cycle.

4. User Data and Privacy

You retain ownership of all data you upload to PunchFlow. By using our Services, you grant us a limited license to process, store, and transmit your data solely to provide the Services.

5. Data Security and Compliance

We implement industry-standard security measures to protect your data. However, you acknowledge that no security system is 100% secure.

You are responsible for complying with all applicable laws and regulations related to your use of our Services, including data protection and privacy laws.

6. Acceptable Use

You agree not to use the Services for any unlawful or prohibited purpose. You may not:

• Use the Services to violate any laws or regulations.
• Transmit any viruses, malware, or harmful code.
• Attempt to gain unauthorized access to our systems.
• Interfere with or disrupt the Services or our infrastructure.
• Use the Services to harass, abuse, or harm others.

7. Intellectual Property

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, and software, are the exclusive property of PunchFlow and are protected by Indian and international copyright, trademark, patent, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any content without our prior written consent.

8. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. Grounds for termination may include:

• Violation of these Terms or our policies.
• Non-payment of fees.
• Illegal or fraudulent activity.
• Extended periods of inactivity.

Upon termination, you will no longer have access to your account or data. We will provide a 30-day period for data export before permanent deletion.

9. Service Availability

We strive to provide reliable, uninterrupted access to our Services. However, we do not guarantee:

• Uninterrupted or error-free operation.
• Complete security or immunity from cyber attacks.
• Permanent availability of specific features.

We reserve the right to perform maintenance, updates, and modifications that may temporarily affect service availability.

10. Limitation of Liability

To the maximum extent permitted by law, PunchFlow and its affiliates, directors, employees, and partners shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, revenue, data, or business opportunities.
• Damages arising from your use or inability to use the Services.
• Damages resulting from unauthorized access to your account or data.

Our total liability shall not exceed the total fees paid by you in the 12 months preceding the claim.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of significant changes via email or a prominent notice on the platform. Continued use of the Services after changes constitutes your acceptance of the revised Terms.
